Terms of Service
Effective Date: May 28, 2026 Last Updated: May 28, 2026Welcome to NabzClan ("NabzClan," "we," "our," or "us"). These Terms of Service ("Terms") are a binding legal agreement between you and NabzClan, and they govern your access to and use of our website, forums, community features, AI products and tools, App Store, developer resources and APIs, VIP and subscription services, and all current and future NabzClan projects (collectively, the "Service").
These Terms incorporate by reference our Membership Agreement (https://nabzclan.vip/threads/nabzclan-membership-agreement.19/), Privacy Policy, and the rules and policies of any individual NabzClan project. Together they form the complete agreement between you and us.
By creating an account, accessing, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
1. Definitions
- "Service" means everything described above, including the forum, VIP/subscription features, AI Services, App Store, developer panel and APIs, and any future product or project we operate under the NabzClan name.
- "AI Services" means any artificial-intelligence product, model, tool, agent, or assistant offered by us, including (without limitation) Nova, LumyxAI / Lumyx AI Coder, and Ally, together with their inputs ("Prompts") and generated results ("Outputs").
- "Subscription" or "VIP" means any paid tier, plan, membership, credit, donation-linked perk, or recurring billing arrangement we offer.
- "Member," "you," or "your" means any person who accesses or uses the Service.
- "Content" means any text, code, files, images, links, or other material posted, uploaded, generated, or transmitted through the Service.
2. Membership Eligibility
By using NabzClan, you represent and warrant that you:- Are at least 16 years old, or the minimum age of digital consent in your jurisdiction, whichever is higher.
- Have the legal capacity to enter into a binding contract, or have the consent of a parent or legal guardian who agrees to these Terms on your behalf.
- Are not barred from using the Service under the laws of your jurisdiction and have not been previously banned or removed from the Service.
- Will comply with all applicable laws and all NabzClan policies at all times.
3. Private, Members-Only Community
NabzClan is a private, members-only community operated for the benefit of its members. It is not a public forum, public square, public accommodation, or common carrier, and no part of the Service is open to the general public as of right.- Admission is discretionary. Access is by registration, verification, and approval, granted at our sole discretionand extended only to members we choose to admit. We may decline, condition, or revoke admission for any reason or no reason, to the fullest extent permitted by law.
- Membership is a revocable privilege, not a right. Membership, VIP status, AI usage, and every other part of the Service are granted on the condition that you comply with these Terms and remain in good standing, and may be limited, suspended, or revoked at any time under Section 14 (Termination).
- We set and enforce our own rules. As a private community, we have the right to decide who may join, remain, post, or be removed, and to create, interpret, change, and enforce our own standards for conduct and Content, in our sole discretion. Our moderation, curation, and access decisions are private editorial and operational decisions and create no right, expectation, or entitlement for any member or non-member.
- No obligation to operate. Nothing in these Terms obligates us to provide, maintain, admit anyone to, or continue any feature, product, project, or the Service as a whole.
4. Accounts & Security
- You are solely responsible for all activity that occurs under your account and for keeping your credentials confidential.
- You must provide accurate information and keep it current.
- You may not share, sell, transfer, or sublicense your account, VIP status, credits, certificates, "adcodes," or API access without our written permission.
- You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized account use.
- One person may not operate multiple accounts to evade limits, bans, payment obligations, or these Terms.
5. User Responsibilities
You are fully and solely responsible for:- Any Content you upload, post, generate, share, or transmit.
- All use you make of the Service, including AI Services and any code, files, or applications you obtain, build, sideload, or run.
- Your compliance with all community rules, project policies, third-party terms, and applicable laws.
- Any consequences, damages, claims, or liabilities resulting from your use of the Service.
6. Prohibited Conduct
You may not, and may not permit or assist any third party to:- Post or promote hate speech, harassment, threats, doxxing, or discriminatory content.
- Engage in spamming, phishing, scams, fraud, or deceptive practices.
- Upload, share, or distribute malware, spyware, ransomware, exploits, or other malicious code.
- Violate the intellectual property, privacy, or other rights of any person or entity.
- Impersonate any user, moderator, staff member, or other person or entity.
- Circumvent, manipulate, exploit, or abuse our subscription, VIP, credit, payment, rate-limiting, or access systems.
- Access, probe, scrape, overload, reverse-engineer, or tamper with the Service, another user's account or data, our infrastructure, APIs, or AI models.
- Use the Service, including the AI Services, to create, facilitate, or carry out anything unlawful, harmful, or in violation of any third party's terms.
- Resell, redistribute, or commercially exploit any part of the Service without our written authorization.
7. User Content & License
- You retain ownership of Content you create and post.
- By posting or transmitting Content, you grant NabzClan a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to host, store, use, display, reproduce, adapt, modify, translate, create derivative works from, and distribute your Content for the purpose of operating, providing, promoting, and improving the Service.
- You represent and warrant that you own or have all rights necessary to post your Content and to grant this license, and that your Content does not violate any law or third-party right.
- We do not endorse, verify, or guarantee any user Content and are not responsible for it.
- We may review, remove, restrict, or modify any Content at our sole discretion, but we have no obligation to monitor Content.
8. Illegal Content, Child Safety & Mandatory Reporting
NabzClan has zero tolerance for illegal content and for any content that exploits or endangers minors. This Section applies to all parts of the Service, including user uploads, the App Store, and any AI Service, Prompt, and Output.- Prohibited absolutely. You may not upload, post, generate, request, link to, store, or transmit any content that is illegal, or that sexually exploits, abuses, endangers, or sexualizes a minor, or that facilitates any such conduct ("CSAM"). There are no exceptions, including for "fictional," AI-generated, or "artistic" material.
- Removal, preservation, and reporting. Where we become aware of such content, we will remove it, may preserve relevant records, will terminate the responsible accounts, and will report it to law enforcement and the appropriate authorities — including the National Center for Missing & Exploited Children (NCMEC) or any equivalent body — where required or appropriate.
- Detection. We may use automated and human review, including our content-moderation systems, to detect prohibited content, and we may access, preserve, and disclose information in connection with any report or investigation as described in Section 15.3 (Legal process and disclosure) and our Privacy Policy.
- Other illegal content. Content that infringes intellectual property, facilitates fraud or malware, or otherwise violates applicable law is likewise prohibited and may be removed and reported.
- No monitoring obligation. Nothing in these Terms requires us to monitor Content, but we reserve the right to do so at any time.
9. AI Services & Tools
This Section governs all AI Services, including Nova, LumyxAI / Lumyx AI Coder, and Ally. It applies in addition to the rest of these Terms.9.1 Provided "as-is." AI Services are experimental and provided strictly "as-is" and "as-available," without any warranty of any kind. Outputs may be inaccurate, incomplete, outdated, offensive, insecure, or otherwise unsuitable. You must independently verify any Output before relying on it.
9.2 No reliance. AI Outputs are not professional, legal, medical, financial, security, or engineering advice. You assume all risk arising from your use of Prompts and Outputs, including any code you generate, copy, compile, deploy, or distribute.
9.3 Your responsibility for Prompts and Outputs. As between you and us, you are solely responsible for your Prompts and for your use of any Outputs. To the extent we have any rights in Outputs generated for you, we assign them to you; you accept them subject to these Terms and acknowledge that Outputs may not be unique and that similar Outputs may be generated for others.
9.4 Acceptable use of AI. You may not use any AI Service to: generate or facilitate malware, exploits, or attacks; produce content that is illegal, infringing, or that sexualizes minors; harass, defraud, deceive, or harm others; violate any person's privacy or rights; build a competing model or service; or attempt to bypass safety, rate, usage, or access controls. We may apply usage limits and may suspend or revoke AI access at any time, with or without notice.
9.5 No liability for AI use. To the maximum extent permitted by law, NabzClan is not liable for any Output, for your reliance on any Output, or for any consequence of your use of the AI Services. The limitations and indemnity in Sections 16–18 apply fully to the AI Services.
10. Developer Resources & API
If you access our developer resources, developer panel, public or private APIs, endpoints, repositories, or keys (collectively, the "Developer Services"), the following apply in addition to these Terms:- Keys are personal and confidential. API keys and credentials are issued to you, are non-transferable, and must be kept secure. You are responsible for all activity under your keys.
- Acceptable use. You may not abuse, scrape, overload, reverse-engineer, resell, or exceed the rate, quota, or usage limits of the Developer Services, or use them to build a competing product or to circumvent any restriction.
- No SLA. The Developer Services are provided "as-is," with no service-level commitment, uptime guarantee, or support obligation.
- Changes and revocation. We may add, change, throttle, deprecate, suspend, or remove any endpoint, feature, key, or the Developer Services as a whole at any time, with or without notice and without liability, including for suspected abuse or to comply with law.
- Your applications. You are solely responsible for any application, bot, or service you build using the Developer Services and for its compliance with these Terms, third-party terms, and applicable law.
11. Subscriptions, VIP & Payments
Our VIP and subscription ecosystem is a core part of the Service.11.1 Tiers and features. We offer one or more paid tiers, plans, credits, and VIP perks. The price, features, limits, and benefits of each tier are described at the point of purchase and may change at any time at our discretion. We may add, modify, downgrade, or remove tiers, features, or benefits, including for existing subscribers, with prospective effect.
11.2 Billing and renewal. Paid plans may be one-time or recurring. Recurring subscriptions automatically renew for successive periods at the then-current price until cancelled, and you authorize us and our payment processors to charge your payment method on each renewal. You are responsible for cancelling before a renewal if you do not wish to be charged.
11.3 Payment processors. Payments are processed by third-party providers (e.g., PayPal, Stripe). We do not store full payment-card details. Your use of those providers is subject to their terms, and we are not responsible for their acts, omissions, fees, or failures.
11.4 No refunds. Except where a non-waivable law requires otherwise, all payments, subscriptions, VIP purchases, credits, and donations are final and non-refundable, including for partially used periods, dissatisfaction, account suspension or termination for cause, or changes to features. Any separate Refund Policy we publish is incorporated by reference.
11.5 Chargebacks and abuse. Initiating a fraudulent or unjustified chargeback, payment reversal, or dispute is a material breach of these Terms and may result in immediate, permanent termination and forfeiture of all access, credits, and benefits, in addition to any other remedies available to us.
11.6 Taxes. You are responsible for any applicable taxes other than taxes on our net income.
12. Third-Party Services, Links & Projects
The Service may link to or integrate third-party sites, repositories, tools, partners, or content (including sideloading-related resources that may now operate under a separate brand such as Sidelix). We do not control and are not responsible for third-party services or content, and your use of them is at your own risk and subject to their own terms.13. No Affiliation; Third-Party Names & Trademarks
NabzClan is an independent community and is not affiliated with, authorized by, endorsed by, or sponsored by Apple Inc. or any other company, developer, platform, or rights holder referenced on or accessible through the Service.- All third-party product names, company names, logos, certificates, and trademarks are the property of their respective owners. Any reference to them — including company names associated with certificates or apps — is for identification and descriptive purposes only and does not imply any affiliation, partnership, or endorsement.
- Use of any third-party platform, app, certificate, or service is subject to that third party's own terms, and we make no representation that such use is authorized by, or compliant with the terms of, the relevant third party.
- You are responsible for ensuring your own use complies with all applicable third-party terms and laws.
14. Termination & Suspension
14.1 Our rights. We may suspend, restrict, limit, or terminate your account, VIP status, AI access, or any part of the Service at any time, for any reason or no reason, with or without notice or cause, at our sole discretion — including for suspected violations of these Terms or any law.14.2 No liability. We will not be liable to you or any third party for any suspension, termination, restriction, or discontinuation of the Service or your access to it.

14.4 Effect of termination. On termination or deletion: your right to access the Service ends immediately; no refund is owed (Section 11.4); any credits, VIP benefits, or balances are forfeited unless a non-waivable law requires otherwise; and any provisions that by their nature should survive — including Content licenses, intellectual property, disclaimers, limitations of liability, indemnification, arbitration, and governing law — survive termination. Deleting your account does not release you from obligations or liabilities incurred while your account was active.
15. Force Majeure, Legal Compliance & Government Action
15.1 Force majeure. We are not liable for any failure, delay, interruption, suspension, or discontinuation of the Service caused by events beyond our reasonable control, including acts of government, regulators, or courts; new or changed laws, regulations, sanctions, or executive orders; law-enforcement action; litigation or legal threats; war, terrorism, or civil unrest; labor disputes; failures of payment processors, hosting, domain, or other third-party providers; outages or cyberattacks; natural disasters; or public-health emergencies.15.2 Right to comply and to discontinue. We may modify, restrict, suspend, geoblock, remove Content from, or permanently discontinue all or any part of the Service — for any member, region, or everyone — where we believe in good faith that doing so is necessary or advisable to comply with any law, regulation, sanction, court order, or governmental or regulatory request, or to reduce legal risk to NabzClan or its operators. We may do so with or without notice and without liability to you, and Section 14.4 (Effect of termination) applies.
15.3 Legal process and disclosure. We may access, preserve, and disclose your information and Content, and cooperate with law enforcement, regulators, or other authorities, where we believe in good faith that it is required by law or valid legal process, or reasonably necessary to protect our rights, safety, property, members, or the public. Where lawful and practicable, we will handle such requests consistent with our Privacy Policy.
15.4 Sanctions and export compliance. You represent and warrant that you are not located in, ordinarily resident in, or a national of any country or region subject to comprehensive sanctions or embargo, and that you are not listed on any government restricted-party, denied-persons, or sanctions list. You agree not to use, access, or export the Service in violation of any applicable export-control, sanctions, or trade laws, and we may suspend or terminate your access to comply with them.
15.5 No political or regulatory guarantee. The legal, political, and regulatory environment may change. We make no warranty that the Service, any feature, or any project will remain available, lawful, or permitted in any jurisdiction, and we are not responsible for any loss arising from changes in law, policy, enforcement priorities, or government action. This applies regardless of which government, administration, head of state, legislature, court, regulator, or official holds, enters, or leaves office, in any country, at any time.
16. Disclaimers & No Warranty
The Service, including all Content, AI Services, certificates, files, APIs, and projects, is provided "AS-IS" and "AS-AVAILABLE," with all faults and without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, to the maximum extent permitted by law.We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any Content or Output will be accurate or reliable. We are not responsible for downtime, bugs, errors, data loss, security incidents, or any damages resulting from the Service or from Content posted or generated by users.
17. Limitation of Liability
To the maximum extent permitted by law:- NabzClan and its operators, staff, and contributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to the Service.
- Our total aggregate liabilityfor all claims relating to the Service is limited to:
- Paid users: the lesser of the amount you paid us in the 3 months before the claim, or US $25; and
- Free users: US $0.
- These limits apply to all claims, whether based in contract, tort, negligence, strict liability, statute, or otherwise, and even if we were advised of the possibility of such damages.
18. Indemnification
You agree to indemnify, defend, and hold harmless NabzClan and its operators, staff, moderators, and contributors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your Content or Prompts; (b) your use or misuse of the Service or AI Services; (c) your violation of these Terms, any policy, or any law; or (d) your infringement of any third party's rights. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate with us.19. Intellectual Property & DMCA
- All Service content other than user Content — including the NabzClan name, logos, graphics, code, layout, designs, models, and trademarks — is owned by NabzClan or its licensors and is protected by law. You may not copy, distribute, modify, reverse-engineer, or exploit it without our written permission.
- DMCA / copyright claims: https://dmca.nabzclan.vip/ We will respond to valid notices, generally within 30 days, and may remove allegedly infringing Content.
- Repeat infringers: We maintain a policy of terminating, in appropriate circumstances, the accounts of members who are repeat infringers.
20. Application Across All NabzClan Projects
These Terms, the Membership Agreement, the Privacy Policy, and the rules and policies of every NabzClan project — including the forum, VIP and subscription features, AI tools, App Store, developer resources and APIs, and any current or future project (collectively, the "NabzClan Policies") — apply to your access to and use of every part of the Service.- Universal application. The NabzClan Policies apply across all NabzClan projects, present and future, including any project, service, or feature launched after you joined. Your access to or use of any NabzClan project constitutes acceptance of the NabzClan Policies that apply to it.
- Binding whether or not read. You agree that the NabzClan Policies are binding on you whether or not you have actually read them, so long as they have been made available to you on the Service (for example, by being posted, linked, or otherwise published). It is your responsibility to review the NabzClan Policies and to keep yourself informed of them.
- Updates. Each NabzClan Policy may be updated from time to time. Material changes take effect when posted (or on any stated effective date), and your continued access to or use of the Service after that point is acceptance of the updated policy.
- Conflict. In the event of a conflict between these Terms and a project-specific policy, the project-specific policy applies to that project, and these Terms apply to everything else.
21. Universal Protection Across All Project Categories
NabzClan operates many different types of projects across many different categories. The protections, disclaimers, and limitations in these Terms — including those in Sections 3 (Private Community), 9 (AI Services), 10 (Developer Resources), 14 (Termination), 15 (Force Majeure & Government Action), 16 (Disclaimers), 17 (Limitation of Liability), 18 (Indemnification), and 20 (Application Across All NabzClan Projects) — apply to every NabzClan project, in every category, regardless of how it is described, branded, or distributed, including (without limitation):- The forum and community features
- AI products, models, agents, tools, and chatbots
- The App Store and any other marketplace, library, or repository of apps, files, or media
- Software, scripts, plugins, bots, themes, skins, mods, and tools
- Files, downloads, archives, packages, binaries, and source code
- Signing certificates, "adcodes," provisioning profiles, and related resources
- The developer panel, public and private APIs, endpoints, and developer tools
- VIP, subscription, credit, and donation systems
- Documentation, guides, tutorials, and educational content
- Events, contests, giveaways, and promotions
- Hosted, streamed, or embedded media
- Any future project, product, service, or feature we operate under the NabzClan name, in any category, whether or not it exists today
21.1 Provided as-is. Every project is provided "AS-IS" and "AS-AVAILABLE," without any warranty of legality, safety, accuracy, security, availability, fitness for any particular purpose, non-infringement, compatibility, or that any project will continue to exist or operate.
21.2 Files, downloads, and software. You assume all risk of obtaining, downloading, installing, running, modifying, sideloading, or distributing any file, archive, application, code, model, certificate, or other resource made available through any NabzClan project — including risks of malware, instability, data loss, device damage, account loss, financial loss, voided warranties, or breach of any third-party terms. You are responsible for scanning, verifying, and testing anything you obtain before use.
21.3 Certificates, signing, and device modification. Where any project involves signing certificates, "adcodes," provisioning profiles, or anything else used to install or run software on a device: you acknowledge that such resources may be revoked, invalidated, expired, or blocked at any time by us, by the issuing party, or by a platform operator (such as Apple), with or without notice and without refund or replacement. We make no guarantee of validity, lifetime, or continued function, and we are not liable for any consequence of revocation, expiration, device modification, sideloading, jailbreaking, or any related activity.
21.4 Marketplaces and third-party submissions. Where any project hosts, lists, links to, or distributes content submitted by users, developers, or third parties (including the App Store), we do not review, endorse, or guarantee that content, and we are not responsible for it. The submitter, not NabzClan, is responsible for its content, legality, safety, and compliance with applicable terms.
21.5 Community and user-generated content. Where any project allows posting, messaging, or interaction between users, we are not responsible for what users say, share, or do, and you assume all risk of interacting with other members.
21.6 No professional advice. No project, model, tool, Output, tutorial, guide, or piece of Content provided through the Service constitutes legal, medical, financial, security, engineering, or other professional advice, regardless of category.
21.7 Geographic and platform legality. Project categories that are lawful in one jurisdiction may be unlawful or restricted in another, and may violate the terms of third-party platforms. You are solely responsible for determining whether your use of any NabzClan project is lawful in your jurisdiction and compliant with any applicable third-party terms.
21.8 Combination and compatibility. We make no warranty that any project will be compatible with, or safe to combine with, any device, operating system, account, software, service, or other project. Any combination is at your own risk.
21.9 Beta and experimental. Any project, feature, or product may be beta, experimental, or in development, and may be changed, throttled, suspended, or removed at any time without notice or liability.
21.10 Future projects covered automatically. Every protection, disclaimer, and limitation in these Terms applies automatically to every future NabzClan project, in every category, from the moment that project is made available. We are not required to amend these Terms to extend their protection to a new project.
22. Dispute Resolution, Arbitration & Governing Law
- These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.
- Any dispute arising out of or relating to your membership or use of the Service will be resolved by binding individual arbitration under New York law, except that either party may bring qualifying claims in small claims court.
- You waive any right to a jury trial and to participate in a class, collective, or representative action.
- Deleting your account does not remove arbitration obligations for past conduct.
23. Changes to These Terms
We may update these Terms at any time. Material changes take effect when posted (or on the stated effective date). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.24. Privacy & Data
Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and protect your information.25. General
- Severability: If any provision is held unenforceable, the rest remains in full effect and the unenforceable part is limited to the minimum extent necessary.
- No waiver: Our failure to enforce any provision is not a waiver of it.
- Assignment: You may not assign these Terms; we may assign them freely, including in connection with a merger, acquisition, or sale of assets.
- Entire agreement: These Terms, together with the Membership Agreement, Privacy Policy, and project policies, are the entire agreement between you and us and supersede any prior agreement.
- No partnership: Nothing here creates any agency, partnership, or employment relationship.
